Nothing in these Terms transfers any ownership rights to you. The "netrunner media" name and wordmark are trademarks of Netrunner Media LTD.
If you submit content to Netrunner Media LTD — including enquiries, feedback, proposals, or other communications — you grant Netrunner Media LTD a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, and display that content for the purpose of operating and promoting the Services. You represent that you own or have the necessary rights to the content you submit and that it does not violate any third-party rights or applicable law.
Partnership, sponsorship, and advertising relationships are governed by separate written agreements. No communication through the Services — including form submissions, emails, or messages — constitutes a binding offer, acceptance, or contract until a written agreement is executed by both parties.
The Services may link to or integrate with third-party websites, tools, or services (including Google Forms and analytics providers). Netrunner Media LTD does not control and is not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their respective terms and privacy policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, NETRUNNER MEDIA LTD DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. NETRUNNER MEDIA LTD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, NETRUNNER MEDIA LTD, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID TO NETRUNNER MEDIA LTD IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Netrunner Media LTD and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of a third party.
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, the provisions of these Terms that by their nature should survive — including intellectual property, disclaimers, limitations of liability, and indemnification — will remain in effect.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. You agree to waive any right to a jury trial or to participate in a class action.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
